Sun Pharma has signed a definitive agreement to acquire 100% of Organon & Co., a global pharmaceutical company listed on NYSE, for US$ 14.00 per share in an all-cash transaction with an enterprise valuation of US$ 11.75 billion. Organon, spun off from Merck in 2021, focuses on women's health, established branded medicines, and biosimilars, with operations across 140 countries and revenue of US$ 6.2 billion in 2025. The deal will make Sun Pharma among the top 25 global pharma companies with combined revenue of US$ 12.4 billion, a top-3 player in women's health globally, and the 7th largest biosimilar player. The transaction is expected to close in early 2027, subject to regulatory approvals and Organon stockholder approval.
This is a transformative acquisition that significantly scales Sun Pharma's global presence and diversifies its portfolio into women's health and biosimilars. For shareholders, the deal nearly doubles EBITDA and cash flow, though initial leverage of 2.3x Net Debt/EBITDA may require attention until synergies materialize.
