Suryoday Small Finance Bank has notified the stock exchanges about its 18th Annual General Meeting scheduled for August 6, 2026, at 12:30 PM via video conferencing. The bank has proposed a final dividend of ₹1.50 per equity share (15% of face value) for FY 2025-26. Key business items include re-appointment of director Ranjit Jayant Shah, RBI-approved re-appointment of Krishna Prasad Nair as Non-Executive Part-time Chairman for 3 years, and approval of revised remuneration for MD&CEO Baskar Babu Ramachandran (fixed pay rising from ₹204L to ₹250L) and Executive Director Hemant Shah (from ₹175L to ₹190L). The bank also seeks shareholder approval to raise up to ₹300 Crore in Tier-1 capital through equity or equity-linked instruments, and up to ₹200 Crore in Tier-2 capital through bonds or NCDs, along with amendments to the ESOP Scheme 2019.
The dividend declaration is positive for shareholders, while the proposed capital raises of up to ₹500 Crore (₹300 Cr equity + ₹200 Cr debt) could lead to equity dilution if the equity portion is executed. The increase in executive remuneration may draw some shareholder scrutiny but is within RBI norms.
