Vidarbha Tradelinks Private Limited (VTPL), part of the promoter group, acquired 58,000 equity shares (7.81% stake) of Tashi India Ltd from Bajaj Exports Private Limited on October 13, 2025. The transfer was made pursuant to a Scheme of Arrangement approved by the NCLT Mumbai Bench on July 2, 2025, involving demerger of the Strategic Investment Divisions of Bajaj Exports Pvt Ltd and Rohit Polytex Ltd into VTPL. Post-acquisition, VTPL's holding in Tashi India increased from 13.28% (98,599 shares) to 21.09% (1,56,599 shares), while Bajaj Exports' holding reduced to NIL. The transaction was an inter-se promoter group transfer with no monetary consideration and is exempt from open offer requirements under Regulation 10(1)(d)(iii) of SEBI (SAST) Regulations. The overall share swap ratio under the scheme is 115 equity shares of VTPL (Rs.10 each) for every 3 shares of Bajaj Exports, and 1 share of VTPL for every 9 shares of Rohit Polytex.
This is an internal reshuffling within the Bajaj promoter family group with no change in ultimate controlling interest and no cash outflow, so there is no material impact on the stock price. Shareholders need not worry about an open offer; voting rights and promoter control remain unchanged.
