Following the NCLT-sanctioned Composite Scheme of Arrangement (effective October 1, 2025), Tata Motors has been restructured into two listed entities. Shareholders must apportion their original cost of acquisition as follows: 68.85 percent to Tata Motors Passenger Vehicles Limited and 31.15 percent to Tata Motors Limited (formerly TML Commercial Vehicles). Share entitlement ratio is 1:1. Original TML now holds the passenger vehicles business, while the commercial vehicles business sits in the renamed TML entity.
Shareholders must split original cost between new PV entity (68.85 percent) and CV entity (31.15 percent) for future tax calculations. The demerger is not treated as a transfer.
