The National Company Law Tribunal (NCLT), Mumbai Bench has passed an order on August 25, 2025 sanctioning the Composite Scheme of Arrangement involving Tata Motors Limited, TML Commercial Vehicles Limited, and Tata Motors Passenger Vehicles Limited. Under the scheme, Tata Motors will be the Demerged and Amalgamated Company, TML Commercial Vehicles will be the Resulting Company, and Tata Motors Passenger Vehicles will be the Amalgamating Company. The scheme is being executed under Sections 230-232 of the Companies Act, 2013. The certified copy of the order is awaited, and the scheme will become effective upon filing of the certified copy with the Registrar of Companies, Mumbai.
This is a significant milestone in Tata Motors' restructuring plan to separate its passenger vehicle (EV-focused) and commercial vehicle businesses into two distinct listed entities. Once effective, shareholders should expect allotment of shares in the resulting entities, potentially unlocking value through cleaner business valuations.
