Tata Motors has announced a major overhaul of its Board and Key Managerial Personnel linked to the Composite Scheme of Arrangement approved by NCLT, which splits the company into two listed entities—one housing the Commercial Vehicles business and the other the Passenger Vehicles business. Three Independent Directors (Ms Hanne Sorensen, Mr Kosaraju Chowdary, Mr Guenter Butschek) are stepping down, with the latter two moving to the board of the new CV entity (TML Commercial Vehicles). Ms Sudha Krishnan joins as a new Independent Director for a 5-year term. Mr Shailesh Chandra is appointed as Managing Director & CEO for 3 years, while Mr Girish Wagh resigns as Executive Director to head the CV entity. Additionally, Group CFO Mr P B Balaji will resign effective November 17, 2025 to become CEO of Jaguar Land Rover UK, with Mr Dhiman Gupta taking over as the new CFO.
This is a major structural reset for Tata Motors shareholders, with the company being renamed to Tata Motors Passenger Vehicles Limited on October 1, 2025. Existing shareholders will receive 1 share of the new CV entity (to be renamed Tata Motors Limited) for every share held. The new leadership team is internally groomed, which should ensure continuity, though investors will closely watch the new CEO and CFO as they take charge of the streamlined passenger vehicles business.
