The Board of Tata Motors Limited has approved a new share-based long-term incentive scheme called 'TML SLTI Scheme' for eligible employees. Under this scheme, a maximum of 23,07,647 equity shares (face value ₹2 each) can be issued upon exercise of Performance Share Units (PSUs). The exercise price has been set at ₹2 per PSU, which is the face value. The scheme is being adopted pursuant to the Composite Scheme of Arrangement (demerger completed October 1, 2025), to provide corresponding PSUs to participants who held unexercised PSUs from the demerged company's incentive schemes. The scheme complies with SEBI's Share Based Employee Benefits & Sweat Equity Regulations, 2021.
