The National Company Law Tribunal (NCLT), Kolkata Bench has sanctioned the Scheme of Amalgamation of Texmaco West Rail Limited (a transferor company) into Texmaco Rail & Engineering Limited under Sections 230-232 of the Companies Act, 2013. This follows the company's earlier intimation dated 31st January 2025 and means the subsidiary will now be merged into the listed parent entity. Further steps to implement the scheme will be taken once the certified copy of the NCLT order is received.
This is a simplification move where a subsidiary is being absorbed into the parent company, which may lead to operational efficiencies, reduced compliance costs, and a cleaner corporate structure. For shareholders, the immediate financial impact is limited since this appears to be an internal restructuring, but it could unlock synergies over time.
