The India Cements Limited, a subsidiary of UltraTech Cement, has called a court-convened meeting of equity shareholders on Saturday, September 27, 2025, at 10:00 AM (IST) via video conferencing, as directed by the NCLT Chennai Bench via its order dated August 7, 2025. Shareholders will vote on a proposed scheme to merge four wholly-owned subsidiaries — ICL Financial Services Limited, ICL International Limited, ICL Securities Limited, and India Cements Infrastructures Limited — into India Cements. The purpose is to simplify the group structure, consolidate operations, pool capital and expertise, reduce compliance costs, and create a unified larger entity. Remote e-voting will run from September 24 (9:00 AM) to September 26 (5:00 PM), with a cut-off date of September 20, 2025.
