IHCL has sold its entire 25.52% stake (1.60 crore equity shares) in joint venture Taj GVK Hotels & Resorts Limited to Ms. Shalini Bhupal, an existing promoter of Taj GVK, at ₹370 per share, for an aggregate consideration of approximately ₹592 crore. The sale was consummated on December 30, 2025, following the agreement dated December 19, 2025. Taj GVK was a joint venture that contributed only 0.30% (₹25.32 crore) to IHCL's FY25 consolidated revenue and ₹29.09 crore as share of profit, with no contribution to net worth. As part of the transaction, the existing shareholders' agreement and the 'Taj' name and trademark license have been terminated, and Taj GVK will drop the 'Taj' name from its corporate identity. IHCL's nominee directors have also stepped down from Taj GVK's board, though IHCL will continue to manage and operate the existing hotel portfolio under existing Hotel Operating Agreements and continue earning management fees.
This is a clean strategic exit from a minority JV, unlocking around ₹592 crore in cash for IHCL with minimal impact on consolidated earnings, as the stake contributed just ₹29 crore of profit share and a fraction of revenue. The stock is unlikely to see a major reaction; existing management contracts ensure continued fee income, but IHCL loses brand association with the Taj GVK properties.
