Two promoter group companies—Placid Limited (transferor) and Maharaja Shree Umaid Mills Limited (MSUM, transferee)—completed a court-approved amalgamation effective April 25, 2026. The NCLT Kolkata Bench sanctioned the scheme on March 16, 2026. As a result, Placid's 39.43% stake in PKTEA (12.2 lakh shares) was transferred to MSUM. MSUM also gained indirect control of Kiran Vyapar Limited (another promoter holding 15.19%), bringing MSUM's aggregate holding to 51.66%—making it the new holding company. The listed company is not a party to this transaction, and management/control of PKTEA remains unchanged.
MSUM now holds majority (51.66%) of PKTEA, creating a clearer promoter holding structure. No impact on the company's operations or board control. The consolidation of promoter shareholding within the group is positive for governance clarity but unlikely to affect the stock materially.
