Thermax's wholly owned subsidiary Buildtech Products India, which makes construction chemicals, will merge into Thermax. NCLT Mumbai approved the scheme on June 2, 2026, with April 1, 2025 as the appointed date. Since Thermax already holds the entire share capital of Buildtech, no new shares will be issued and there is no share swap. The merger aims to consolidate the construction chemicals business, eliminate duplication, simplify group structure, and unlock synergies. The scheme becomes effective after the order is filed with the Registrar of Companies, Pune.
Simplifies group structure with no share dilution. Construction chemicals business gets consolidated under Thermax, likely neutral to mildly positive for shareholders.
