Tierra Agrotech received BSE Observation Letter with no adverse observations for its composite scheme of arrangement with Nishpra Community Solutions (NSPL) as transferor. Under Sections 230-232 of the Companies Act 2013, the Board approved the scheme on January 12, 2026 and filed with BSE on January 13, 2026. SEBI had earlier issued 15 comments on June 25, 2026 around disclosures. BSE has directed the company to publicly disclose pre and post scheme shareholding patterns, latest financials, valuation basis, promoter shareholding changes, pending actions and rationale. The scheme will now proceed to NCLT for approval.
