Time Technoplast board approved the merger of its 74.86% subsidiary TPL Plastech into itself, effective April 1, 2026. Share exchange ratio: 403 TTL shares (face value Rs 1) for every 1,000 TPL shares (face value Rs 2). TTL will issue about 79 lakh new shares to TPL shareholders. Post-merger, promoter holding dips from 47.47% to 46.73%. Scheme now needs NCLT, BSE and NSE approvals. Rationale: operational synergies, simplified group structure, and lower compliance burden.
Mild dilution of about 0.74% for existing TTL shareholders. Streamlined group structure and cost synergies expected. Awaiting NCLT and exchange approvals.
