Transport Corporation of India (TCI) reported audited Q4 and FY25 results alongside multiple board decisions. Standalone revenue from operations rose to ₹39,359 Mn in FY25 (vs ₹36,138 Mn in FY24) with net profit of ₹3,959 Mn; consolidated revenue was ₹44,918 Mn with net profit of ₹4,161 Mn and basic EPS of ₹53.43. The board approved a grant of 122,000 ESOP options at an exercise price of ₹550 and, subject to shareholder approval, issuance of non-convertible debentures/bonds up to ₹200 Crores. It also appointed Vinod Kothari & Co. as secretarial auditor for 5 years, approved re-appointment of independent director Vikrampati Singhania, and continuation of non-executive director S N Agarwal. Separately, Company Secretary & Compliance Officer Archana Pandey resigned effective May 15, 2025 to pursue other opportunities, with Group CFO Ashish Kumar Tiwari given interim oversight of compliance duties until a replacement is appointed.
Strong FY25 earnings with healthy revenue and profit growth are positive for shareholders. The Company Secretary exit is a routine KMP-level change and is not expected to materially impact operations, as the Group CFO will handle compliance on an interim basis. The ₹200 Crore NCD plan and ESOP grant signal continued investment and talent alignment.
