Transrail Lighting's board approved acquiring 100% of Gactel Turnkey Projects from Ajanma Holdings for up to Rs 10 Crore in cash. Gactel, an industrial cooling solutions and engineering firm, will become a wholly owned subsidiary, strengthening Transrail's cooling tower and EPC capabilities. The deal is a related party transaction done at arm's length, with no regulatory approvals needed and expected closure within 4 months. Separately, Deputy Managing Director Mr. Raman Rajagopalan resigned effective July 31, 2026, citing personal commitments and relocation to Chennai.
Strategic bolt-on deal expands cooling tower EPC business at a modest Rs 10 Cr outlay. DMD exit near-term may create transition risk in leadership.
