TVS Holdings subsidiary Home Credit India has signed a Share Purchase Agreement to acquire 100 percent of Varthana Finance, an education-focused NBFC, for Rs 967 Crore in cash. Varthana posted FY26 revenue of Rs 398.31 Cr and PAT of Rs 18.65 Cr with net worth of Rs 574.23 Cr. Deal is not a related party transaction but needs RBI approval and is expected to close within 9 months. Acquisition expands the group's footprint into secured, longer-tenure education lending.
Strengthens financial services portfolio with education lending vertical. Positive for long-term growth, but Rs 967 Cr cash outflow and RBI approval risk remain.
