TVS Motor's wholly-owned Singapore subsidiary has agreed to acquire 100% stake (1,000,000 equity shares) in Engines Engineering S.p.A (EE), an Italy-based design and engineering firm specializing in two-wheeler and three-wheeler vehicles, from ACT S.r.l. The deal is for a cash consideration of EUR 5.05 per share, totaling EUR 5,050,000 (approximately ₹5 crore). Upon completion, EE will become a wholly-owned subsidiary of TVS Motor (Singapore) Pte Ltd. The transaction is expected to close by October 1, 2025, subject to conditions precedent, and no regulatory approvals are required. EE had revenues of EUR 11.28 million in 2024 and brings expertise in styling, design, engineering and testing, especially for high-performance and high-displacement vehicles, aligning with TVS Motor's global mobility ambitions.
This is a small-ticket strategic acquisition that strengthens TVS Motor's design and engineering capabilities for high-performance two and three-wheelers, supporting its global expansion plans. Financially, the deal size is immaterial relative to TVS Motor's scale, so the impact on near-term earnings or stock price is likely limited, but it reinforces the company's international growth strategy.
