NCLT has ordered meetings of UGRO Capital's 38,752 equity shareholders, 67,665 secured creditors and 1,800 unsecured creditors to consider the proposed amalgamation of its wholly owned subsidiary Profectus Capital (PCPL) into UGRO Capital. Meetings to be held within 90 days via video conferencing. Since PCPL is a wholly owned subsidiary, no new shares will be issued and there will be no change in UGRO's shareholding pattern. Appointed date is April 1, 2026. RBI, NSE and BSE approvals already obtained.
Internal merger of wholly owned subsidiary; no share dilution expected. Awaiting shareholder and creditor approval, subject to further regulatory clearances.
