On the reaction day the stock moved 0.3 pts less than Nifty Microcap 250 and 0.5 pts less than its Non Banking Financial Company (NBFC) peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
RBI approved Ugro Capital's proposed purchase of 100% of Profectus Capital. The transaction is expected to close by 31 October 2025, subject to customary conditions in the share purchase agreement. The board committee also changed the terms of the preferential convertible debentures so the full coupon will be paid immediately after allotment instead of depending on a later event; all other terms remain unchanged.
RBI approval lets the purchase proceed, subject to closing conditions. Immediate coupon payments may raise early funding costs and dilute holders.
