UGRO Capital has completed acquiring 100 percent shareholding in Profectus Capital Private Limited, making it a wholly owned subsidiary effective 8 December 2025. The deal was originally announced on 17 June 2025, received RBI approval on 18 September 2025 under Scale Based Regulations, and was executed via the Share Purchase Agreement signed in June. Profectus is an NBFC, so this acquisition expands UGRO Capital's lending portfolio and scale of operations.
Strengthens UGRO Capital's NBFC business with Profectus now fully owned. No open offer triggered. Watch for integration updates and potential EPS accretion.
