UltraTech Cement's board met on 21st July 2025 and approved strong Q1FY26 (quarter ended 30 June 2025) results. Consolidated revenue from operations rose to ₹21,275.45 crore from ₹18,818.56 crore a year ago, with net profit jumping to ₹2,220.91 crore from ₹1,493.45 crore (up ~49% YoY). Standalone net profit came in at ₹2,231.79 crore versus ₹1,506.54 crore earlier, with EPS of ₹75.87 (vs ₹51.21). On the board front, Mr. Sunil Duggal's term as independent director ends on 13 August 2025 and he has opted out of re-appointment, while Mr. V. Chandrasekaran has been appointed as a new independent director for five years from 13 August 2025. The board also recommended appointing Deloitte Haskins and Sells LLP as Joint Statutory Auditor for five years and changes to the MoA/AoA, both subject to shareholder approval at the upcoming AGM.
Solid double-digit revenue growth and nearly 50% jump in net profit signal strong operating momentum, likely to be viewed positively by investors. The director change is a routine transition (one independent director exiting, a replacement appointed), with no governance red flags. Adding Deloitte as a joint statutory auditor is a governance-positive move and needs shareholder approval at the AGM.
