UltraTech Cement has sold 1,82,47,148 equity shares (face value Rs. 10 each) of its subsidiary The India Cements Limited through an Offer for Sale (OFS) via the stock exchange mechanism on August 21-22, 2025. This sale represents 5.89% of India Cements' total issued and paid-up equity share capital. Following this transaction, UltraTech's shareholding in India Cements has come down to 75.60% from 81.49% earlier. The sale was carried out under SEBI's OFS framework as per the master circular dated December 30, 2024.
UltraTech continues to retain a majority stake (75.60%) in India Cements, so it remains a subsidiary. The partial stake sale through OFS is likely aimed at monetising the investment and improving public float in India Cements, with no material change in consolidated business operations for UltraTech shareholders.
