Umang Dairies Limited (UDL) has informed the exchanges that its composite Scheme of Arrangement has become effective on June 17, 2025, after the NCLT Allahabad and Kolkata Benches sanctioned it. Under the scheme, UDL's dairy business will demerge into Panchmahal Properties Limited (PPL), which will be renamed 'Umang Dairies Limited'. The remaining (residual) UDL will then amalgamate into Bengal & Assam Company Limited (BACL), its 55.50% parent. Shareholders of UDL will receive 1 equity share of BACL (face value Rs 10) for every 9 equity shares held in UDL (face value Rs 5). The Board has fixed Friday, June 27, 2025 as the Record Date to identify eligible shareholders for the share allotment. The appointed date for the scheme is April 1, 2023.
UDL shareholders will receive BACL shares in exchange for their UDL holdings, and the listing of UDL as a standalone dairy entity is expected to end as the company dissolves into BACL post-demerger. The stock may see price adjustment on or around the record date to reflect the embedded value of the share entitlement, and trading will eventually shift to the restructured entity.
