United Spirits Limited (USL) has executed an amended and restated share purchase agreement (A&R SPA) dated May 11, 2026, updating the purchaser lineup for the previously announced sale of its wholly-owned subsidiary, Royal Challengers Sports Private Limited (RCSPL). Some original purchasers (Aelius Investments Pte Ltd and Metropolitan Media Company Limited) have retired from the consortium, while new entities — Big Banyan Holdings Pte. Ltd, Times Cricket LLP, and ICQ Opportunities RC Holdco, Ltd — have been added as purchasers. The deal involves 14,690 equity shares of RCSPL at an unchanged aggregate consideration of INR 166.6 billion. The underlying consortium, sale shares, and total consideration remain the same, reflecting only a reorganisation of legal entities within the buying group. RCSPL is a related party as a wholly-owned subsidiary of USL, though the transaction itself does not qualify as a related party transaction.
The amendment is administrative in nature and does not change the commercial terms or deal economics. The transaction value of INR 166.6 billion remains intact, and the deal appears on track for completion. No material impact on USL's share price is expected from this purchaser restructuring alone.
