Uno Minda's board approved merging its 99%-owned subsidiary Minda Onkyo India (MOIPL) into itself. MOIPL turnover is INR 40.28 Cr and net worth INR 28.39 Cr, small versus UML turnover of INR 14,699.65 Cr. Share swap ratio: 6 Uno Minda shares (INR 2 face value) for every 10,000 MOIPL shares. JV partner Onkyo went bankrupt in 2022, and Uno Minda bought the remaining 49% stake in 2024. Merger aims to simplify holding structure, cut costs and improve synergies. Appointed date is April 1, 2026. Subject to NCLT and shareholder approvals.
Small internal restructuring of a 99%-owned unit with negligible shareholding impact. Minor dilution only. Positive for cost synergies and simplification.
