Utkarsh Small Finance Bank Limited (USFB) has notified the exchanges that the NCLT Allahabad Bench, by its order dated February 11, 2026, has directed a meeting of the Bank's unsecured creditors to be held on March 28, 2026 at 3:30 PM via video conferencing. The purpose is to consider and approve the Scheme of Amalgamation of Utkarsh CoreInvest Limited (the promoter holding company of USFB) into and with Utkarsh Small Finance Bank Limited, under Sections 230-232 of the Companies Act, 2013. The transferor company has paid-up share capital of Rs 99.38 crore (99,378,215 equity shares), while the transferee (USFB) has paid-up equity capital of Rs 1,779.52 crore (1,779,523,684 shares) as on November 6, 2025. E-voting will run from March 25-27, 2026, with results to be declared by March 31, 2026. The scheme has already received no-objection letters from the RBI (January 2, 2025) and from BSE and NSE (July 2025).
This is a procedural step in an internal group restructuring where the promoter holding company (Utkarsh CoreInvest) merges into the listed bank. If approved, it simplifies the bank's ownership structure with no immediate change to business operations. Share dilution is not expected as the promoter entity is being absorbed, not new shares issued to outside parties. The stock is unlikely to see major price action on this update alone, but final NCLT approval and effective date will be the key milestones to watch.
