Valor Estate's board approved acquiring about 9.89 lakh equity shares (approximately 49%) of Bamboo Hotel and Global Centre (Delhi) Private Limited from Advent Hotels International Limited for around Rs. 596.70 crore. Post-acquisition, Bamboo Hotel will become an associate company of Valor Estate, marking its entry into the hospitality business. The deal also includes assignment of a corporate guarantee for roughly Rs. 1,058.89 crore in loans previously extended by Advent Hotels to Bamboo Hotel, and the purchase consideration will be adjusted against outstanding receivables due from the seller. Separately, the board approved issuing a corporate guarantee of up to Rs. 110 crore in favour of lenders to secure a term loan for its wholly owned subsidiary DB View Infracon Private Limited. Both transactions are with promoter group entities and have been carried out at arm's length, subject to shareholder approvals.
For shareholders: The ~Rs. 597 crore acquisition diversifies the company into hospitality but is sizable and will require shareholder approval since it is a related party deal. The corporate guarantee for the subsidiary adds contingent liability but supports operational funding. Near-term stock reaction may hinge on whether investors view the hospitality foray as value-accretive.
