Valor Estate Limited (formerly D B Realty) has confirmed that its Composite Scheme of Amalgamation and Arrangement has become effective from 1st July 2025, after the NCLT Mumbai Bench order was filed with the Registrar of Companies, Mumbai. The scheme has two parts: (1) amalgamation of Esteem Properties Private Limited into Valor Estate Limited, with an appointed date of 1st April 2024, and (2) demerger of Valor Estate's hospitality business into Advent Hotels International Private Limited, with an appointed date of 1st April 2025. With this filing, all conditions precedent to the scheme are now satisfied, and the restructuring will be implemented going forward. Shareholders should expect share entitlement / record-date actions to follow separately.
The restructuring is now legally effective — Valor Estate will absorb Esteem Properties, and its hospitality business will spin off into Advent Hotels International.
