VBL had agreed in Nov 2024 to acquire SBC Tanzania (USD 154.5M) and SBC Ghana (USD 15.06M). Both deals were terminated on March 31, 2025 after conditions were not met. SEBI warned VBL in Aug 2025 for not adequately disclosing the termination. On Jan 9, 2026, Securities Appellate Tribunal ruled VBL's disclosure was camouflaged in small print and amounted to no disclosure at all. SEBI has now directed VBL to make proper disclosures and threatened enforcement action. VBL claims no material financial impact.
Regulatory compliance issue, not a business one. Potential enforcement action and penalties. No material financial impact per company.
