NCLT Mumbai Bench has sanctioned Vedanta's Composite Scheme of Arrangement between the company and 5 wholly owned subsidiaries - Vedanta Aluminium Metal, Talwandi Sabo Power, Malco Energy, Vedanta Base Metals, and Vedanta Iron and Steel. The order was passed on December 16, 2025, and the certified copy was received by Vedanta on January 21, 2026. The scheme includes the demerger of the Oil and Gas Undertaking into Malco Energy Limited. The Government of India had raised objections on disclosure of oil and gas blocks and liabilities, but the NCLT approved the scheme.
Major corporate restructuring clears regulatory hurdle, paving the way for demerger of Oil and Gas business and consolidation of other verticals under separate entities.
