Ventive Hospitality's board has approved the acquisition of a 76% stake in Soham Leisure Ventures Private Limited, which owns the Hilton Goa Resort. The company will pay Rs. 9.5 crore in cash for the 76% equity stake, with the total enterprise value of the deal being approximately Rs. 320 crore (including land). Soham Leisure Ventures reported a turnover of Rs. 49.92 crore in FY25, up from Rs. 48.56 crore in FY24 and Rs. 33.41 crore in FY23. The acquisition gives Ventive a foothold in the Goa leisure hospitality market and adds a Hilton-flagged resort with potential for +64 keys and villa development. The deal is expected to close before the end of Q3 FY26 and is not a related-party transaction.
This is a strategically positive move for Ventive Hospitality, expanding its portfolio into the high-demand Goa leisure segment and supporting its stated goal of doubling its portfolio to ~4,000 keys in five years. The acquisition will add revenue and asset value, though shareholders should watch for funding details, integration progress, and any follow-on announcements such as an open offer to remaining shareholders.
