NCLT New Delhi Bench has approved the amalgamation of five wholly owned subsidiaries into Vipul Limited, effective from the appointed date of 1 April 2022. The subsidiaries being merged are Abhipra Trading, Graphic Research Consultants India, United Buildwell, Vineeta Trading, and Vipul Eastern Infracon. This is an internal restructuring where the parent company is consolidating its subsidiary entities to improve operational efficiency, reduce compliance costs, and eliminate duplication. No shareholder meetings were required as all five subsidiaries are 100% owned by Vipul Limited. The Income Tax Department had raised concerns about pending tax demands of approximately Rs 2.67 crore against two transferor companies, but the Tribunal clarified that tax authorities retain rights to recover dues from the amalgamated entity. No objection was received from BSE, NSE, or SEBI.
This merger will simplify Vipul Limited's corporate structure by reducing the number of entities, potentially lowering administrative costs. Since it involves only wholly owned subsidiaries, there is no direct impact on Vipul Limited shareholders and no dilution or new share issuance is involved.
