Cigniti Technologies held an NCLT-convened meeting of equity shareholders on December 6, 2025, to vote on its proposed amalgamation with Coforge Limited. Shareholders approved the scheme with an overwhelming 99.95% of votes (by value) cast in favor and only 0.05% against, on a total of 1,88,32,931 polled shares. Public shareholders also backed the deal strongly, with 99.75% voting in favor and 0.25% against. The resolution was declared as passed with the requisite three-fourths majority required under the Companies Act. This clears a key shareholder approval milestone in the merger process, though the deal still needs NCLT sanction, SEBI and other regulatory clearances before it can become effective.
Strong shareholder backing is a positive signal for the deal moving forward — Cigniti shareholders will end up with shares in Coforge, a larger IT services player. However, the merger is not yet final; NCLT court approval and other regulatory nods are still pending, so execution risk remains until those come through.
