Warren Tea Limited (WTL), a BSE-listed tea production company, is proposing to amalgamate with Maple Hotels & Resorts Limited (MHRL), an unlisted hospitality company, both under the same promoter group. The NCLT Kolkata Bench has ordered a shareholders meeting on June 18, 2026 to approve this scheme. Under the proposed 1:1 share exchange ratio, WTL shareholders will receive 1 equity share of MHRL for every share held in WTL. MHRL operates 5 hotels under the 'Vesta Hotels & Resorts' brand in Rajasthan. The appointed date for the amalgamation is April 1, 2025. Once effective, MHRL will become a listed entity, providing WTL shareholders exposure to the hospitality sector along with rights to the Vesta Hotels & Resorts trademark.
