Agri Vestors Private Limited (AVPL) acquired 27,17,72,140 shares (45.44%) of Nagarjuna Fertilizers and Chemicals from Amlika Mercantile Private Limited on March 28, 2025, at Rs. 4.31 per share. The deal was executed via a block deal through NSE for 15,54,12,063 shares and a Share Purchase Agreement for the remaining 11,63,60,077 shares. Crucially, both seller and buyer are controlled by the same person, Mr. K Rahul Raju (who holds 99% of AVPL and is the ultimate beneficiary of Amlika). This is an inter-se transfer of shares among qualifying persons within the same promoter group, not a change in ultimate ownership of the company.
No change in ultimate control of NFCL since the same individual, Mr. K Rahul Raju, controls both entities. Shareholders should view this as an internal restructuring of promoter holdings rather than a new acquisition. The Rs. 4.31 block deal price is now an important reference point for the stock.
