Mipco Seamless Rings has signed a binding Memorandum of Understanding to acquire 100% of Satyacare Solutions Limited from Mr. Bikram Gupta and Mrs. Suman Gupta for an all-cash consideration, with the final price to be set by an independent valuation. Satyacare Solutions is a multi-business company operating in transportation and logistics, manpower supply, hospitality (resorts) and healthcare (hospitals), with turnover rising sharply from Rs. 14.0 Cr in FY23 to Rs. 14.8 Cr in FY24 and Rs. 25.9 Cr in FY25. The deal is subject to statutory and regulatory approvals, including shareholder approval, and is not a related-party transaction. Notably, Mipco itself currently has no operational revenues, making this a major diversification move into the target's sectors.
This is a transformative acquisition for Mipco, which currently has zero operating revenue, so Satyacare's Rs. 25.9 Cr turnover will significantly reshape the company's income profile.
