Wim Plast Limited held an NCLT-convened meeting of equity shareholders on 6th December 2025 to vote on a Composite Scheme of Arrangement involving Wim Plast, Cello Consumer Products Private Limited, and Cello World Limited. Out of 12,00,336 total shares, 19,33,850 shares (16.11%) were polled, and the resolution was passed with 99.59% votes in favour and only 0.41% against. Promoter group votes were not counted as they were deemed interested in the scheme. A separate meeting of unsecured creditors was also held the same day, and that resolution was also approved with the requisite majority.
This is a significant step forward for the proposed composite scheme of arrangement involving the Cello group entities, bringing it closer to final NCLT and regulatory approval. Shareholders have overwhelmingly approved the deal, reducing execution risk, though the scheme still needs final NCLT sanction and other regulatory clearances before becoming effective.
