Windsor Machines Limited has completed the merger of its wholly owned subsidiary, Global CNC Private Limited, into itself. The NCLT Ahmedabad Bench approved the Scheme of Amalgamation under Sections 230-232 of the Companies Act, 2013 via its order dated March 19, 2026, and the scheme became effective on March 31, 2026 with an appointed date of April 1, 2025. Since Global CNC is a 100% wholly owned subsidiary, no shares were issued and no consideration was paid; Global CNC will stand dissolved without winding up. The company has accordingly filed the NCLT order with the Registrar of Companies and amended its Memorandum of Association to update the object clause and authorised share capital. The merger is aimed at simplifying the group structure, consolidating operations, and reducing compliance costs.
No impact on shareholding pattern as no new shares are issued, so existing shareholders face zero dilution. The stock price is unlikely to see a major reaction since this is a purely internal restructuring; however, it may lead to modest cost savings and operational efficiencies over time.
