Zydus Lifesciences, through its wholly owned US subsidiary Zynext Ventures USA LLC, has signed a Securities Purchase Agreement to acquire a 5.9% stake in Agenus Inc., a US-based clinical-stage immuno-oncology company. The deal involves buying 2,133,333 shares at USD 7.50 per share, totalling around USD 16 million in cash. Agenus is developing next-generation cancer immunotherapies, with its lead BOT/BAL programme showing clinical activity across nine cancer types in over 1,200 patients. Agenus had a turnover of USD 103.46 million in CY2024. The transaction is subject to US regulatory approvals (Hart-Scott-Rodino, CFIUS) and is expected to close within 60 days.
This is a relatively small strategic investment (about USD 16 million) for Zydus, aimed at strengthening its immuno-oncology pipeline and global reach. Minor impact on near-term financials given the small deal size, but could create long-term value if BOT/BAL therapy succeeds in clinical trials.
