Zydus Wellness, through its wholly owned UK subsidiary Alidac UK Limited, has completed the acquisition of Comfort Click Limited (CCL), a UK-based digital consumer healthcare company in the Vitamins, Minerals and Supplements (VMS) segment. The deal is valued at GBP 239 million in cash (plus a profit ticker from the lock-box date), making it Zydus Wellness's first overseas acquisition. CCL posted revenues of GBP 134 million for FY25 (unaudited), a 5-year CAGR of 57%, with adjusted operating profit of GBP 21 million. The acquisition gives Zydus Wellness a foothold in the UK, Europe, and a platform to expand into the USA, with three brands (WeightWorld, maxmedix, Animigo) spanning adult, kids, and pet nutrition segments sold largely through e-commerce and D2C channels. The deal is expected to be Cash EPS accretive, and the existing CCL management will continue to run operations with part of their proceeds reinvested in growth shares tied to performance milestones.
This is a sizeable international acquisition (roughly ₹2,600+ crore at current GBP/INR rates) that expands Zydus Wellness into the high-growth global VMS market and digital wellness space. In the near term, shareholders may weigh the cash outflow and integration risks against the long-term growth optionality in a USD 50–60 billion addressable market; the EPS-accretive guidance and rollover management structure are supportive signals for value creation.
