Zydus Wellness, through its wholly owned UK subsidiary Alidac UK Limited, has completed the acquisition of UK-based Comfort Click Limited (CCL) for a cash equity value of GBP 239 million, plus a profit ticker from the lock-box date. This is Zydus Wellness's first overseas acquisition and marks its entry into the high-growth Vitamins, Minerals and Supplements (VMS) segment. CCL posted a turnover of GBP 134 million in FY25 (unaudited) with a 5-year CAGR of about 57% and an adjusted operating profit of GBP 21 million, and operates three brands — WeightWorld (adults), maxmedix (paediatrics) and Animigo (pet care) — across the UK, EU, and the USA. The deal is expected to be Cash EPS accretive, with existing management reinvesting part of their proceeds into growth shares.
This acquisition significantly expands Zydus Wellness's international footprint and diversifies it into the fast-growing digital VMS category, which should support long-term revenue growth. The cash payout of ~GBP 239 million (roughly Rs 2,500+ crore) is sizeable relative to the company's size and may temporarily pressure leverage, but management expects it to be earnings accretive on a cash basis, which is a positive signal for shareholders.
