Audit Qualification (Qualified Opinion & Emphasis of Matter)

An audit qualification is a modification to the auditor's opinion on a company's financial statements. A qualified opinion says the accounts are fair except for a specific matter; an adverse opinion says they are not fair; a disclaimer says the auditor could not form an opinion. An emphasis of matter is different — it draws attention to something already disclosed in the accounts without modifying the opinion.

Indian auditors follow the Standards on Auditing: SA 705 covers modified opinions and SA 706 covers emphasis-of-matter paragraphs. Listed companies must file a statement on the impact of any audit qualification along with their annual results, under SEBI's LODR rules.

Qualifications typically concern things the auditor could not verify or disagrees with — unrecognised losses, unsupported receivables, doubtful investments in group companies. An emphasis of matter often points to a pending lawsuit, a regulatory matter or doubts about going concern that the company has disclosed.

Read the basis paragraph: it states what the issue is and, often, its size. A qualification that recurs year after year without resolution is a governance signal in itself.

A new qualified or adverse opinion, or a disclaimer, is usually read negatively because it questions the reliability of the reported numbers. Emphasis-of-matter paragraphs matter mainly for what they highlight.
