Bajaj Auto's wholly owned Netherlands-based subsidiary BAIH has signed a Receivable Redemption Agreement with Pierer Konzerngesellschaft mbH (PIKO) on 21 May 2025. The deal is worth Euro 80 million (approximately Rs. 776 crore), which will be paid to Dabepo Holding GmbH to take over commitments under existing loan and share pledge agreements on shares of PIAG, Pierer Immoraeal GmbH and Pierer Immobillienverwaltung GmbH. BAIH currently holds a 49.9% stake in Pierer Bajaj AG (PBAG) in Austria, with the remaining 50.1% held by PIAG, whose parent is PIKO. The agreement is secured by share pledges held in escrow. Bajaj Auto has clarified this is not a related party transaction.
This represents a notable capital outlay of nearly Rs. 776 crore at the subsidiary level tied to Bajaj Auto's Austrian joint venture structure. Shareholders should watch this as it may signal ongoing consolidation or restructuring of Bajaj's European operations, though the immediate impact on the listed entity's financials is limited since the transaction is routed through a wholly owned subsidiary.
