Bajaj Finserv, along with promoter group companies Bajaj Holdings & Investment and Jamnalal Sons, has completed the first tranche of acquiring 23% stake in Bajaj General Insurance and Bajaj Life Insurance from Allianz SE for a total of Rs. 21,390 crore (Rs. 12,190 crore for general insurance and Rs. 9,200 crore for life insurance). Bajaj Finserv directly acquired 1.01% in each subsidiary, taking its direct holding to 75.01%, while the promoter group collectively brought the Bajaj Group's ownership to 97% in both companies. The 24-year joint venture with Allianz SE has been formally terminated effective 8 January 2026. The remaining 3% stake is expected to be acquired through a buyback by the insurance companies by 31 July 2026, after which Bajaj Finserv's stake will rise to approximately 77.3%. The deal, described as the largest in Indian insurance history, was fully funded by the Bajaj Group with no leverage and received CCI and IRDAI approvals in just 4 months.
Bajaj Finserv gains complete strategic control of its high-growth insurance subsidiaries, enabling greater flexibility in product launches, market expansion, and capital allocation without a JV partner's involvement. The move consolidates two large profit-generating businesses fully under the listed entity, which is positive for long-term shareholder value, though the sizable cash deployment (Rs. 21,390 crore) is worth monitoring for capital efficiency. Policyholders and operations remain unaffected.
