Central Bank of India has completed the acquisition of a 25.18% equity stake in Future Generali India Life Insurance Company Limited (FGILICL) on June 4, 2025. The deal was done for a cash consideration of up to INR 57 crores, buying 65.43 crore equity shares. FGILICL is a Mumbai-headquartered life insurer incorporated in 2006, with Gross Written Premium of INR 1,810.53 crore in FY24 (up from INR 1,758.01 crore in FY23 and INR 1,433.53 crore in FY22). The acquisition followed a Letter of Intent dated August 20, 2024 under IBC insolvency resolution regulations, and necessary approvals from CCI, RBI, and IRDAI have been obtained. Generali remains the largest shareholder in FGILICL with a 73.99% stake.
This marks Central Bank of India's strategic entry into the life insurance sector, potentially unlocking bancassurance synergies and fee income. At ~₹57 crores for a 25.18% stake, the outlay is modest relative to the bank's size, making the financial risk limited while giving optionality on future insurance growth.
