Central Bank of India has signed three key agreements on 27th June 2025 to formalize its acquisition of a 25.18% equity stake in Future Generali India Life Insurance Company Limited (FGILICL), where the Generali Group holds the remaining 74.00%. The agreements include a Shareholders Agreement (with Generali Participations Netherlands N.V. and FGILICL), a Trademark Licence Agreement (10-year validity) with Generali, and a Distribution Agreement (6 years, renewable) with FGILICL. Under the Distribution Agreement, the Bank will act as a Corporate Agent for soliciting and procuring life insurance business for FGILICL. The SHA grants the Bank rights to nominate directors, first right on share subscriptions, and the ability to restrict changes in capital structure.
This move turns FGILICL into an associate company of Central Bank of India, opening up a new fee-based income stream through bancassurance distribution and giving the Bank strategic influence in a life insurance JV with global player Generali. The diversification into insurance could support long-term revenue growth, though near-term financial impact will depend on the pace of policy sales through the Bank's branch network.
