Dhruva Capital Services, an NBFC listed on BSE, has announced a strategic merger with Vector Finance Private Limited, a microfinance lender, marking its entry into the microfinance (MFI) business. Vector Finance had an AUM of Rs 390.23 crore and total revenue of Rs 27.16 crore as on March 31, 2025, with operations across 6 states, 79 districts and over 173 branches. In FY25, Vector disbursed Rs 222.66 crore to 43,274 customers. The boards of both companies have approved the merger, which is now subject to NCLT, shareholder and creditor approvals. The combined entity aims to leverage Dhruva's financial sector expertise with Vector's grassroots microfinance reach in underserved eastern and northeastern markets.
This is a growth-driven acquisition that diversifies Dhruva Capital's business into microfinance and adds meaningful scale (Rs 390 crore AUM). Short-term, the stock may react positively on the diversification and synergy story, though the deal is still subject to NCLT and regulatory approvals, which carry execution risk.
