ICICI Bank has completed the acquisition of 100% shareholding in ICICI Prudential Pension Funds Management Company (ICICI PFM) from ICICI Prudential Life Insurance Company. The Share Purchase Agreement (SPA) was signed on January 12, 2026, and all formalities have been completed on the same day. Following this, ICICI PFM has officially become a wholly owned subsidiary of ICICI Bank. This was first announced in July 2025, with updates provided in November 2025 and early January 2026 leading up to the final closure.
This strengthens ICICI Bank's presence in the pension fund management business, giving it full control over a fast-growing segment. The deal is between related group entities, so no open offer is triggered, and the impact on shareholders is expected to be positive as the bank consolidates a high-growth business line.
