G R Infraprojects has completed the sale of its wholly owned subsidiary GR Bahadurganj Araria Highway Private Limited (GBAHPL) to Indus Infra Trust for a total consideration of around Rs. 59.87 crore on 30th December 2025. GBAHPL contributed only 3.14% of the company's consolidated income (Rs. 238.48 crore) and 0.45% of consolidated net worth (Rs. 38.41 crore) as of 31st March 2025, so it is a small part of the overall business. Indus Infra Trust is a related party (the company's own infrastructure investment trust or InvIT) but does not belong to the promoter group, and the deal has been done at arm's length. With this transfer, GBAHPL will no longer be a subsidiary of G R Infraprojects from 30th December 2025.
This is a routine asset monetisation move where the company sells one of its road project special purpose vehicles (SPVs) to its own InvIT, which helps G R Infraprojects free up capital tied in highway projects while the asset stays within the broader group. Since GBAHPL is a small contributor to revenue and net worth, the financial impact on shareholders is limited, though the cash inflow may support the company's working capital and reduce project-level debt.
